Sagicor Announces Major Corporate Restructuring Plans

Sagicor is advancing plans to consolidate its Caribbean operations under a new corporate structure, with shareholders in Jamaica set to consider a proposal that could change how the financial services group is organised and listed on the stock market.

The proposed restructuring would bring Sagicor Jamaica and Sagicor Life Inc. under a single parent company, Sagicor Group Caribbean Limited, also known as Sagicor Caribbean.

The release of shareholder documentation outlining the proposed changes represents a significant development in the process, according to Christopher Zaca, Chief Executive Officer of Sagicor Jamaica and Sagicor Caribbean.

The documents, which include a combined Scheme and Extraordinary General Meeting booklet, provide shareholders with details of the proposed two-stage reorganisation and the approvals required for it to proceed.

A New Corporate Structure for Sagicor Caribbean

At the centre of the proposal is the establishment of Sagicor Caribbean as the publicly listed parent company, creating a more unified corporate structure for the group’s Caribbean businesses.

The initial phase would involve a court-supervised legal process known as a Scheme of Arrangement.

Through this process, Sagicor Caribbean would take the place of Sagicor Jamaica as the company listed on the Jamaica Stock Exchange (JSE).

The change would represent an important shift in the group’s corporate structure, with the proposed parent company positioned to oversee its Caribbean operations.

However, implementation remains dependent on shareholder approval, court sanction and the Scheme becoming legally effective.

What the Restructuring Means for Shareholders

Under the proposed share exchange, existing Sagicor Jamaica shareholders would receive one share in Sagicor Caribbean for every share they currently own in Sagicor Jamaica.

The one-for-one exchange means shareholders would retain the same proportional ownership immediately after the Scheme takes effect.

While the name of the listed company would change, the arrangement is designed to preserve existing shareholders’ relative ownership interests at the point of transition.

The proposed transaction therefore represents a corporate restructuring rather than an immediate change in the proportional ownership of existing Sagicor Jamaica investors.

Shareholder Meetings Scheduled for October 28

The next major step in the process is scheduled for October 28, 2026, when two hybrid shareholder meetings are expected to take place.

The meetings will provide an opportunity for shareholders to consider the proposed arrangements as Sagicor seeks the necessary approvals to advance its regional restructuring.

Although the publication of the shareholder documents marks progress, the proposed reorganisation has not yet been completed.

The outcome of the approval process will determine whether Sagicor Caribbean can proceed with becoming the new listed entity on the Jamaica Stock Exchange.

The proposed restructuring forms part of Sagicor’s broader effort to establish a more integrated corporate structure across its Caribbean operations.
